By 30 September 2019 at the latest all Belgian companies (legal entities established in Belgium), from the smallest to the biggest, need to register their beneficial owners on a central register the Ultimate Beneficial Owner (“UBO”) Register (the “UBO Obligation”). The UBO Obligation is based on a law of 18 September 2017 on the prevention of money laundering and terrorist financing and on the limitation of the use of cash.
SEMINAR: NEW LAW ON B2B CONTRACTS

The Belgian legislator has introduced a list of black and grey clauses and a new concept of economic dependency in order to “restore economic and legal balance” in B2B relations. One effect will be to give additional bargaining power to those negotiating deals with a stronger economic partner. The new law will gradually come into force as from 01 September 2019, so this is a key moment to review all contractual documents (including general conditions). The following questions, amongst others, will be addressed:
- When can we speak about a position of economic dependence ?
- When can we consider that a contract has a unreasonable imbalance between the rights and obligation of the respective parties ?
- What legal and economic risks may be transferred to the other contracting party?
